By accessing or using the URL-shortening service provided by Zixso, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use the Service.

Service Description

Zixso provides a URL-shortening service that allows users to create shortened URLs (“Short Links”) that redirect to longer URLs.

User Registration

  • You may use the Service without registering.
  • We reserve the right to implement registration requirements in the future. If we do so, any additional terms specific to registration will be posted and will also be binding.

Acceptable Use & Prudent Conduct

  • You agree to use the Service prudently and in compliance with applicable laws. Misuse of the Service is strictly prohibited.
  • You agree not to use the Service to:
    • Violate any applicable laws or regulations.
    • Infringe upon the rights of others.
    • Distribute malware, viruses, or other malicious code.
    • Create Short Links that lead to content that:
      • Promotes illegal activities.
      • Contains fraudulent, deceptive, or misleading information.
      • Is pornographic, obscene, or sexually explicit.
      • Promotes violence, hatred, or discrimination.
      • Harasses, intimidates, or threatens others.
      • Infringes on intellectual property rights.
      • Violates privacy rights.
  • We reserve the right, at our sole discretion, to remove or disable any Short Link and to suspend or terminate your access to the Service if we believe you are violating these Terms or any applicable law.

Content Responsibility & Takedown Policy

  • Your Responsibility: You are solely responsible for the content of the destination URLs that you shorten using our Service. We do not review or moderate destination URLs before shortening.
  • Third-Party Content: You acknowledge that any third-party content you access via the Service is at your own risk.
  • Takedown Requests: If you believe a Short Link leads to content that is unlawful, infringing, or otherwise violates these Terms, please contact us at [Link]. We reserve the right to investigate and remove or block Short Links at our discretion.

Fees & Future Charges

  • Right to Introduce Fees: We currently offer the Service free of charge, but we reserve the right to introduce or modify fees at any time.
  • If we decide to introduce paid features or subscriptions, we will announce such fees and payment details via an update to these Terms or through the Service. Your continued use of the paid features will constitute acceptance of the applicable fees.

Intellectual Property

  • The Service, including all content, features, and functionality, is owned by Zixso and protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • These Terms do not grant you any rights, title, or interest in or to any Zixso intellectual property, except for the limited right to use the Service under these Terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ZIXSO MAKES NO GUARANTEE REGARDING THE UPTIME, AVAILABILITY, OR PERFORMANCE OF THE SERVICE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZIXSO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless Zixso, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use of or access to the Service.
  • The content of any destination URL you shorten.

Third-Party Links & Content

  • The Service may provide the ability to create Short Links to third-party websites or services.
  • We do not control and are not responsible for any third-party content, including its accuracy, legality, or quality. You access third-party content at your own risk.
  • Zixso shall not be liable for any damages or losses arising from your use of or reliance on any third-party content.

Termination

  • We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
  • Upon termination, your right to use the Service will immediately cease.

Modifications to the Service

  • We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  • We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Modifications to Terms

  • We reserve the right to modify these Terms at any time. If we make changes, we will post the revised Terms on this page with an updated revision date.
  • Your continued use of the Service following the posting of revised Terms means that you accept and agree to those changes.

Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
  • Should Zixso formalize its business registration in another jurisdiction, we reserve the right to update this Section accordingly. Any such update will be posted, and continued use of the Service will constitute acceptance of the revised governing law.

Arbitration & Class Action Waiver

  • Arbitration: All disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, in Pune, India. The arbitration shall be conducted in English before a single arbitrator. The arbitrator’s award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Nothing in this Section shall preclude either party from seeking interim or injunctive relief in the courts of Pune, India to protect its rights pending arbitration.
  • Class Action Waiver: You agree to arbitrate solely on an individual basis, and not as a plaintiff or class member in any purported class or representative proceeding.
  • Judgment on Award: The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.
  • Exceptions: Nothing herein shall be deemed to prevent Zixso from seeking injunctive relief in a court of competent jurisdiction to protect our intellectual property or other rights.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Zixso regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.
